Terms of Service

These terms (the "Terms") govern your use of pennyinny.party (the "Service"), operated by TODO: your legal entity name ("we", "us", "our"). By using the Service or purchasing a pass, you agree to these Terms.

1. The Service

The Service sells weekly, monthly and yearly passes that grant you a personal right to use the features of the Service during your paid period. Secure checkout and payment processing is provided by Paddle (Paddle.com Market Ltd and its group), our Merchant of Record, under Paddle's own terms and privacy notice.

After payment is confirmed, we issue you a license key. The key is shown on our activate page and can be recovered from our recover page using the email address on your Paddle receipt.

3. Purchases, payment and taxes

All charges are processed and collected by Paddle, which acts as the merchant of record for your purchase. Paddle handles payment methods, invoicing, currency conversion where offered and applicable taxes. Please review Paddle's checkout for the final price, and Paddle's terms of sale for payment-related matters.

Discount codes must be entered before checkout and are subject to the terms shown with the offer.

4. Renewals and cancellation

Passes renew automatically until you cancel. You can cancel at any time from the Paddle customer portal linked on your receipt; your access continues until the end of the period you already paid for, then your license stops working. See our Refund Policy for refunds.

6. Intellectual property

The names, text, graphics and other content we publish on the Service are owned by us or our licensors. Your pass is a limited, personal, non-transferable right to use the Service; it is not a transfer of any intellectual property, and you get no rights to our marks, content or technology beyond what these Terms give you.

7. Disclaimers and limitation of liability

We provide the Service on an "as is" and "as available" basis and, to the extent permitted by law, disclaim warranties, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose and non-infringement.

To the maximum extent permitted by law, our total liability arising out of or relating to these Terms or your use of the Service is limited to the amount you paid us in the 12 months before the claim. We are not liable for indirect, incidental, special or consequential loss.

Nothing in these Terms limits or excludes liability that cannot be limited or excluded under applicable law, including liability for fraud, death or personal injury caused by negligence, or where we fail to comply with your statutory consumer rights.

8. Changes to these Terms

We may update these Terms to reflect changes to the Service, the law or our operations. The latest version is always on this page, and the "Last updated" date above shows when it changed. Where a change is significant, we will take reasonable steps to tell you, such as a notice on the site before or at renewal.

9. Governing law and disputes

These Terms are governed by the laws of TODO: your court / country, e.g. England and Wales, without regard to its conflict-of-law rules. Any dispute not resolved informally will be subject to the exclusive jurisdiction of the courts of TODO: your court / country, e.g. England and Wales.
